Terms of Service.

These are the rules that govern your use of TEC software and services. We've tried to keep them short and readable. The shape is industry-standard but the bits that matter to you specifically — refunds, license seats, what happens when you cancel — we've called out plainly.

Acceptance#

These Terms of Service ("Terms") are a contract between you and The Experiential Company, LLC ("TEC", "we," "us," "our"). By creating a TEC ID, downloading or using our software, or buying a license, you agree to these Terms. If you don't agree, don't use the service.

We may update these Terms when something material changes — pricing, refund policy, new product, new law. We'll notify account holders by email of significant changes. Continuing to use TEC after an update means you accept the new Terms.

What we offer#

TEC sells and operates the following:

  • TEC ID — your account and license dashboard. Free to create; only useful if you own one of our products.
  • Moonshine — a desktop projection-mapping tool (perpetual license, paid major upgrades).
  • Starlight — a desktop motion-graphics creation tool with a TouchDesigner render engine (perpetual license, paid major upgrades).
  • Owlette — a Windows fleet-monitor SaaS, billed per machine per month.

Each product has its own technical requirements, scope, and feature set. We may add, remove, or rename products; we won't take away a feature you paid for without offering a refund or replacement.

Your account#

You're responsible for:

  • Keeping your TEC ID email address current — we send license keys, payment notices, and security alerts there.
  • Protecting access to that email account. Anyone who can read your inbox can sign in via our magic links.
  • Everything done under your account, including by people you give access to.
  • Complying with all applicable laws when you use our products.

Licenses and seats#

When you buy software from us, we grant you a non-exclusive, non-transferable license to use it under these Terms. A "seat" is one machine the software is activated on. Each license has a seat cap; activating beyond the cap requires releasing an older seat or buying more.

Perpetual licenses (Moonshine, Starlight)

  • You own the right to use the version you bought, forever.
  • You get 12 months of free minor and major updates from purchase date.
  • After 12 months, your current version keeps working; new major versions are a paid upgrade.

Subscription licenses (Owlette)

  • Billed monthly or annually per machine.
  • Cancel anytime — the app keeps working until the end of the period you've already paid for.
  • No refund for the current period when you cancel.
  • If your card fails and you don't fix it within the grace window, the app stops working until you do.

Beta and alpha software

Beta and alpha builds are made available so you can help us improve them. They may break, lose your work, change without notice, or be discontinued. We offer no warranty on pre-release software. If you paid for early access, refunds are at our discretion.

Payment, refunds, and taxes#

Payments are processed by Lemon Squeezy as Merchant of Record. They handle the card, the tax (VAT/GST/sales tax), and the receipt. Their terms apply to the payment transaction; ours apply to the software you receive.

Refunds

  • 14-day refund on a fresh purchase, no questions asked, provided you haven't already deeply engaged with the product (downloaded materials, activated many seats, used it in production). Request via hello@tec.design.
  • Subscription cancellations end further billing; we do not pro-rate refunds for the current period.
  • Upgrades and add-ons follow the same 14-day window from the date of purchase.

Failed payments

If a renewal fails, we show a banner and email you. There's a short grace period during which the app keeps working. After the grace period, the license switches to inactive until you update your payment method.

Acceptable use#

You agree not to:

  • Resell or sublicense the software, except as we explicitly permit (e.g., reselling Owlette seats to a managed client under your account).
  • Reverse-engineer or decompile the software for the purpose of building a competing product. Personal interoperability work and security research are fine.
  • Strip, replace, or obscure license notices, copyright marks, or branding.
  • Use the service for anything illegal, or in a way that's aimed at breaking somebody else's system or rights.

We can suspend or terminate accounts that materially break these rules. We'll always tell you why.

Your data and your work#

Anything you create using our software — your projects, mappings, animations, configs, the contents of your Owlette dashboard — is yours. We don't claim ownership of your work and we don't license it from you beyond what's needed to deliver the service.

If you choose to share data with us for support (a project file, a log, a screenshot), we use it only to help you. We delete it when the support thread is closed unless you ask us to keep it.

Intellectual property#

The TEC name, logos, and product names are our trademarks. The software is ours and is licensed, not sold, under these Terms. Third-party components in our software (open source libraries, fonts, etc.) are licensed under their own terms; we list those in the credits screen and project documentation.

Privacy#

Our handling of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Disclaimer of warranties#

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." To the maximum extent permitted by law, TEC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted, error-free, or meet your specific requirements.

Limitation of liability#

To the maximum extent permitted by law, TEC will not be liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, goodwill, or business interruption — arising from your use of (or inability to use) our software or services, even if we've been advised of the possibility of such damages.

Total liability cap. Our total aggregate liability for any claim relating to our software or services is limited to the amount you paid TEC for the affected product in the 12 months before the claim arose. Some jurisdictions don't allow this kind of limitation — if you're in one, our liability is limited to the smallest amount permitted by your local law.

Indemnification#

You agree to defend, indemnify, and hold TEC and our team harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your misuse of the software, your violation of these Terms, or your violation of someone else's rights.

Termination#

You can terminate your TEC ID at any time. For subscription products (Owlette), cancellation stops further billing; access ends at the close of the current period. For perpetual products (Moonshine, Starlight), your installed software keeps working — terminating your TEC ID just removes our ability to manage licenses for you.

We can terminate or suspend access if you materially breach these Terms or use TEC to cause harm to others. We'll give notice and a chance to fix the issue first, unless it's an urgent safety or security matter.

Governing law and disputes#

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The federal and state courts in California have exclusive jurisdiction for any dispute arising from these Terms — unless mandatory consumer-protection law in your country gives you the right to sue locally, in which case those rights are preserved.

Before suing us, please email us at hello@tec.design. We'll try to resolve the dispute within 30 days. Many things turn out to be miscommunications and we'd rather just fix them.

Severability and entire agreement#

If any part of these Terms is held unenforceable, the rest still applies. These Terms, our Privacy Policy, and any product-specific terms you've agreed to (e.g., the Owlette EULA in-app) make up the entire agreement between us about the software and supersede prior agreements on the same subject.
